1. Definitions

"Orin Technologies BV" (hereinafter: "we", "us", "our") is the provider of the Orin Transport Planner software.
"Service" means the Orin Transport Planner web application, available via orin.software and related domains.
"User" means any person or entity using the Service.
"Account" means the registration that provides access to the Service.

2. Acceptance of Terms

By using the Service, you agree to these Terms and Conditions. If you do not agree, you may not use the Service.

3. Description of the Service

Orin Transport Planner is a Software-as-a-Service (SaaS) platform for transport planning, trip management, and invoicing. The Service is provided "as is" and "as available".

4. Account and Registration

To use the Service, you must create an Account. You are responsible for:

Providing accurate and complete information
Keeping your login credentials confidential
All activities that occur under your Account

5. Subscriptions and Payment

The Service is offered via monthly subscriptions. Prices are exclusive of VAT unless otherwise stated. We reserve the right to change prices with 30 days' prior notice.

6. Trial Period

New users can try the Service free for 90 days. After the trial period, a paid subscription is required for continued use.

7. Terms of Use

You agree not to use the Service for:

Illegal activities
Sending spam or unsolicited communications
Uploading malware or harmful content
Infringing intellectual property rights
Reselling the Service without permission

8. Data and Privacy

Your use of the Service is subject to our Privacy Policy. You retain ownership of your data. We process your data solely to provide the Service.

9. Availability

We strive for maximum availability but do not guarantee uninterrupted access. The Service may be temporarily unavailable for maintenance or due to circumstances beyond our control.

10. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW:

The Service is provided "as is" without any warranty, express or implied
We are not liable for indirect, incidental, special, or consequential damages
We are not liable for lost profits, data loss, or business interruption
Our total liability is limited to the amount you have paid us in the past 12 months
You use the Service at your own risk

11. Indemnification

You indemnify Orin Technologies BV from all claims, damages, costs, and expenses (including reasonable attorney fees) arising from your use of the Service or violation of these terms.

12. Termination

You may cancel your Account at any time. We reserve the right to terminate Accounts for violation of these terms. Upon termination, your right to access the Service expires.

13. Changes

We may modify these terms. Material changes will be announced 30 days in advance. Continued use after changes means acceptance of the new terms.

14. Governing Law

These terms are governed by Dutch law. Disputes shall be submitted to the competent court in the Netherlands.
