Fair Use Policy

1. Purpose and scope
This Fair Use Policy defines what Orin Technologies B.V. ("Orin", "we") considers reasonable use of the Orin Transport Planner and all related applications, APIs and AI features (the "Service"). It forms an integral and binding part of the Orin Terms and Conditions and applies to every plan, trial, account and user.
We may update this policy at any time. Your continued use of the Service after an update constitutes acceptance of the updated policy.
2. Subscription model and what "included" means
Orin is priced per active vehicle ("truck"). References to features being "included", "all-in" or "unlimited" mean included for the normal day-to-day operations of a single road-transport business of the size reflected by the number of trucks on the account. They do not mean technically unlimited or unmetered consumption, and are at all times subject to this policy.
3. Fair-use baselines
The following indicative baselines describe usage we consider proportionate to a per-truck subscription. They are guidelines, not entitlements, and Orin determines reasonable use at its sole reasonable discretion:
- AI document processing (order/email/PDF extraction, pricing assistance, support chat): included for normal order intake — indicatively up to 150 AI document extractions per active truck per calendar month and not materially exceeding 10 per truck per day on a sustained basis. Operations with structurally higher volumes — including groupage, parcel, courier, express, brokerage or forwarding consolidation — require a Distribution plan or a usage-based add-on.
- Shipments and orders: proportionate to your fleet size and plan; sustained volumes materially above the norm for your subscription may be re-tiered or charged.
- Routing and map lookups: for planning your own operational trips only. Bulk, automated, scraped, stored-for-reuse or third-party use of routing, distance, geocoding or map data is not permitted.
- Document storage: indicatively up to 2 GB per active truck (PODs and documents); excess may be charged or require archival.
- Users and drivers: proportionate to your fleet; one account represents one legal entity (or controlled group) and its own operations only.
- API and EDI: within our published rate limits, for your own integrations only — not for bulk export, mirroring, caching or resale of data.
4. AI features
AI features are provided as an assistive convenience and rely on third-party AI providers. They are subject to fair use. We may at any time meter, cap, throttle, queue or charge for AI usage that exceeds normal operational intake. You may use Orin's AI features only to process your own transport documents for your own operations; processing third-party, bulk, synthetic, scraped or benchmarking data, or using outputs to build or train competing services, is prohibited.
5. Third-party services and costs
The Service incorporates third-party routing, mapping and AI providers. Where your usage causes disproportionate third-party costs, we may, at our discretion, charge those costs through to you at the then-current rates, apply rate limiting, or require you to supply and pay for your own provider API key.
6. Prohibited use
You may not:
- Share, resell, sublicense or provide access to the Service to any third party, or operate multiple businesses through a single account;
- Split, structure or distribute usage across accounts to circumvent pricing, limits or this policy;
- Access the Service through automated means other than the official API, or scrape its data or interfaces;
- Resell, redistribute or cache routing, map, distance or AI output;
- Upload malware or unlawful, infringing or harmful content, or use the Service for unlawful purposes;
- Overload, disrupt, probe or circumvent the Service, its limits or its security;
- Reverse engineer, decompile or attempt to extract the source code or models, or benchmark the Service for a competing product.
7. Excessive or abnormal use, and our remedies
If, in Orin's sole reasonable discretion, your usage materially exceeds the baselines above, is abnormal or disproportionate, breaches this policy, or risks the stability of the Service or disproportionate third-party cost, we may take any of the following measures at any time, with or without prior notice:
- Contact you to review your usage and require a corrected usage profile;
- Require migration to a higher, Distribution or custom plan, or to a usage-based add-on, with immediate effect;
- Apply rate limiting, throttling, queueing or feature caps (including to AI and routing features);
- Charge for excess and out-of-policy usage at the then-current rates, including third-party cost pass-through;
- Suspend, restrict or terminate the account.
We will generally seek to resolve matters through dialogue first, but we reserve the right to act immediately in cases of abuse, security or legal risk, disproportionate cost, or repeated or material breach. A failure to enforce any part of this policy is not a waiver of our right to do so later.
8. Trial period
Trials are provided for genuine evaluation only and are subject to this policy. They are not intended for sustained production use without the intent to subscribe. We may limit, throttle or end trial access at our discretion, in particular where usage is disproportionate or abusive.
9. Changes
We may revise this policy and its baselines at any time as the Service and its underlying costs evolve. The current version always applies.
