Terms and Conditions

These terms sit alongside three other documents, and each says which one governs where: the Privacy Policy for personal data, the Data Processing Agreement for the data we process on a customer's behalf, and the Fair Use Policy for what "included" means.
1. Definitions
"Orin Technologies BV" (hereinafter: "we", "us", "our") is the provider of Orin, and the contracting party for every agreement described here.
"Orin" or the "Service" means the Orin transport management platform and everything served with it: the web application at orin.software and related domains, the driver app, the customer and partner portal, and the partner API.
"Customer" means the organisation that contracts with us and holds the account. The Customer is the party these terms are agreed with.
"User" means a person the Customer gives access to: a planner, an administrator, a driver, or a contact at one of the Customer's own customers or subcontractors. A User is not a party to this agreement; the Customer is responsible for the Users it admits.
"Account" means the Customer's environment, including every User in it.
2. Acceptance of Terms
These terms are agreed by the Customer, either by signing an order form or by creating an account. Where a separately signed agreement exists between us and a Customer, that agreement prevails over these terms to the extent they conflict. Users access the Service under the Customer's account and on the Customer's authority.
3. Description of the Service
Orin is a software-as-a-service platform for road transport and freight forwarding. It covers order intake, planning and dispatch, execution and proof of delivery, cost and margin, invoicing and electronic invoicing, customer self-service, and integration with a Customer's own systems and those of its trading partners. Which of those a particular Account has depends on its plan and its configuration; the pricing page states what each plan includes.
We develop the Service continuously. Features are added, changed and occasionally retired; we do not remove a capability a Customer relies on without notice. Nothing on our website, in a demonstration or in a roadmap discussion is a commitment to deliver a specific feature by a specific date unless it is written into a signed agreement.
4. Account and Registration
An Account belongs to the Customer, not to the people who log into it. The Customer:
- provides accurate registration and billing information;
- decides who gets access, with what role, and removes access when someone leaves;
- is responsible for what happens under its Account, including what its Users do;
- is responsible for the accuracy of the operational data it enters or imports.
Users keep their own credentials confidential and do not share logins. A driver PIN or a portal login is personal to the person it was issued to.
5. Subscriptions and Payment
The Service is offered on a monthly subscription that renews each month, or on an annual subscription paid in advance at a ten percent discount, which runs to its end date. Prices are exclusive of VAT unless otherwise stated. We reserve the right to change prices with 30 days' prior notice; a change never applies within a period you have already paid for.
Charges are a base amount plus an amount per active vehicle in the billing month. What counts as an active vehicle, and what is included without further charge, is set out on our pricing page and our Fair Use Policy.
6. Trial Period
Where we offer a trial, its length, its scope and its conditions are stated in writing at the time it is offered, and it is subject to the Fair Use Policy. A trial is for genuine evaluation; continued use after it ends requires a paid subscription.
7. Terms of Use
You agree not to use the Service for:
- Illegal activities
- Sending spam or unsolicited communications
- Uploading malware or harmful content
- Infringing intellectual property rights
- Reselling the Service without permission
What counts as normal use of an included subscription, and what happens when usage runs past it, is set out in the Fair Use Policy. That policy is the only definition of included usage; nothing here adds a second one.
8. Data and Privacy
The Customer owns the data it puts into the Service and can export it at any time. We use it to provide the Service and for nothing else; we do not sell it and we do not use a Customer's operational data to build features for anyone else.
Two documents govern this in detail. The Privacy Policy covers personal data for which we decide the purpose, such as account and billing contacts and website visitors. The Data Processing Agreement covers the personal data inside a Customer's operational records, where the Customer is the controller and we act on its instructions. The DPA forms part of this agreement and does not have to be signed separately to apply.
9. Availability
We aim for the Service to be available continuously and we do not guarantee uninterrupted access. Planned maintenance is announced in advance and scheduled outside Central European office hours wherever we can. The Service may also be unavailable through circumstances outside our control.
No availability percentage is promised under these terms. A measured availability commitment, a response time and a remedy are part of an Enterprise support agreement and exist only where one has been signed.
10. Limitation of Liability
To the fullest extent permitted by law:
- the Service is provided as it is, without warranty beyond what these terms state;
- we are not liable for indirect, incidental, special or consequential damage;
- we are not liable for lost profit, lost data or business interruption;
- our total liability in any twelve-month period is limited to what the Customer paid us in the twelve months before the claim arose.
None of this limits liability that cannot be limited under Dutch law, including liability for intent or wilful recklessness.
Orin supports decisions; it does not take them. A planning proposal, a cost calculation, a toll figure, a driving-hours check or a value read out of a document by AI is an aid to the person doing the work, and the Customer remains responsible for the transport it plans, the invoices it sends and its compliance with the law that applies to it.
11. Indemnification
The Customer indemnifies Orin Technologies BV against claims by third parties arising from the Customer's use of the Service, from the data it puts into it, or from a breach of these terms, including reasonable legal costs. We will notify the Customer promptly of any such claim and will not settle it without the Customer's agreement.
12. Termination
You may cancel a monthly subscription at any time. There is no notice period and no exit fee: access continues to the end of the month you have paid for and the subscription does not renew. An annual subscription runs to its end date and does not renew automatically unless agreed.
Before access ends you can export your data yourself from inside the Service. What happens to data we still hold afterwards is governed by our Privacy Policy and, for data we process on your behalf, by the Data Processing Agreement.
We reserve the right to terminate Accounts for violation of these terms. Upon termination, your right to access the Service expires.
13. Changes
We may change these terms. A material change is announced to the Customer's account administrators at least 30 days before it takes effect, and the same 30 days applies to a change in the Fair Use Policy that reduces included usage. A Customer that does not accept a material change may cancel before it takes effect, without penalty, and we will refund any period paid for beyond that date.
14. Governing Law
These terms are governed by Dutch law. Disputes shall be submitted to the competent court in the Netherlands.
15. Contact
Orin Technologies BV, registered in the Netherlands, is the contracting party for the Service and the only entity these terms are agreed with. "Orin" is the name of the product; the company is Orin Technologies BV.
